Terms of Service

By installing, accessing, or using ENV Manager Pro ("the Extension") or any associated services provided by Stackly HQ Ltd ("Stackly HQ", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not install or use the Extension.

These Terms apply to all users, including free-tier users and paying Pro subscribers. Users who accept on behalf of a company warrant that they have authority to bind that company.

You must be at least 13 years old to use ENV Manager Pro. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms. By using the service you represent that all information you provide is accurate and that you will keep it current.

Subject to these Terms, Stackly HQ grants you a limited, non-exclusive, non-transferable, revocable licence to install and use ENV Manager Pro for your personal or internal business purposes.

You may not:

• Copy, modify, distribute, sell, or sublicence the Extension or any part of it
• Reverse engineer, decompile, or disassemble the Extension except as permitted by applicable law
• Remove or alter any proprietary notices or labels
• Use the Extension to build a competing product
• Circumvent any licence enforcement mechanisms or usage limits

Certain features of ENV Manager Pro are provided free of charge ("Free Tier"). The Free Tier is provided on an as-is basis. We reserve the right to modify, limit, or discontinue any Free Tier feature at any time with reasonable notice. We will endeavour to notify users of significant changes via the Extension's changelog or by email where an address is held.

You agree not to use ENV Manager Pro to:

• Violate any applicable law or regulation
• Transmit malware, viruses, or any malicious code
• Attempt to gain unauthorised access to any system or network
• Harvest, scrape, or collect data from our services through automated means
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of our services
• Store, transmit, or process content that is illegal, infringing, or violates third-party rights

Violations may result in immediate suspension or termination of your account without refund.

You are solely responsible for all data you store, encrypt, or sync using ENV Manager Pro, including environment variable names and values ("Your Secrets").

• Maintain independent backups of Your Secrets — do not rely solely on Cloud Sync
• Keep your master password and account credentials secure
• Notify us immediately at security@stacklyhq.com if you suspect unauthorised access to your account
• Ensure you have the right to store and process any secrets that belong to third parties or employers

We cannot recover Your Secrets if you lose your master password. AES-256-GCM encryption means we cannot decrypt your data without the key, which only you hold.

ENV Manager Pro, including its source code, design, brand, trademarks, and all associated intellectual property, is owned by Stackly HQ Ltd and protected by UK and international copyright and intellectual property laws.

You retain full ownership of Your Secrets and any data you create using the Extension. By using Cloud Sync, you grant Stackly HQ a limited, worldwide, royalty-free licence to store and transmit encrypted versions of Your Secrets solely for the purpose of providing the sync service.

ENV Manager Pro is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Extension will be uninterrupted, error-free, or secure
• Defects will be corrected within any specific timeframe
• The Extension will be compatible with all versions of VS Code or operating systems
• Cloud Sync will be available 100% of the time

To the maximum extent permitted by applicable law, Stackly HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use ENV Manager Pro.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to Stackly HQ in the 12 months preceding the claim, or (b) £50 GBP.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Stackly HQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of ENV Manager Pro.

You may stop using ENV Manager Pro and delete your account at any time via your account dashboard or by emailing legal@stacklyhq.com.

We may suspend or terminate your account immediately, without prior notice or liability, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Extension ceases. Provisions that by their nature should survive termination (including ownership clauses, disclaimers, limitations of liability, and dispute resolution) will survive.

We may revise these Terms from time to time. For material changes, we will provide at least 14 days' notice by email (where held) or a prominent notice within the Extension. Continued use after notice of changes constitutes your acceptance. If you disagree with revised Terms, your sole remedy is to stop using ENV Manager Pro and cancel your subscription.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved by good-faith negotiation. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
